A self-designated consultant for a cannabis company says he can't be held liable by the SEC for alleged misrepresentation through the firm because its CEO was responsible for the statements the commission alleges were false and misleading, asking that he be let go from the case on summary judgment.
Leonard Tucker argued in a Thursday motion in Florida federal court that it is indisputable that chief executive Dan Oran ran Profile Solutions Inc.
"There is no evidence in the record to suggest that Tucker had any independent decision-making authority on behalf of Profile. In fact, the record demonstrates that Oran made all decisions," Tucker argues in the motion, in which he says he was merely a consultant.
